BOARD OF DIRECTORS MEETING MINUTES

President-elect Tony Pederson called the meeting to order at 9:44 a.m.

Board members present were Hugh Aynesworth, Phyllis Hammond, Janie Loveless, Deborah Marine, Niki McCuistion, Paul Wahlstrom and Elizabeth Zavala.

Diane Brandon, co-chair of the Breaking News and Ceilings event attended as a guest.

Minutes of the September 15, 2012, regular board meeting were approved.

Minutes of the August 11, 2012 annual meeting were approved as amended: We have cut expenses and are ending our fiscal year (June) with a profit of $9. Some of this is attributable to a reduction in membership fees. Change to: We have cut expenses and, as of June, have a profit of $9. Some of this is attributable to a reduction in expenses.

For the nine months ending September 30, 2012, President-elect Pederson reported total revenue was $9,647 and total operating expenses were $9,633.98 vs. $9,322.08 total revenue and $11,789 total operating expenses for the same period last year. Much of the variance is attributable to reductions in internet service, rent and tax expenses.

Committee reports:

Professional Development – Zavala stated that the committee, chaired by Allen Manning, is having ongoing discussions about future workshops.

Programming Events – Hugh Aynesworth reported that he will moderate a post-election analysis featuring veteran political journalists Carolyn Barta and Dave Montgomery. The event will be held Nov. 8 at KERA. Also, Rena Pederson will deliver a program on Nov. 27 about her recent experiences in Egypt.

Special Events/Fundraising – Marine and Diane Brandon presented details of the Oct. 29, 2012, event at the Four Seasons Resort and Club in Las Colinas which will honor DFW’s five women TV news directors. As of Oct. 19, revenue was $15,000 from sponsorships and $5,070 from ticket sales; expenses were estimated to be $9,526; and attendance was estimated to be 217.

Living Legends – Janie Loveless stated that the committee chaired by Robert Smith will email an event update to the board.

Networking Events – Phyllis Hammond reported that the October 16 networking event, with guest speaker Arts District executive director Veletta Lill, will be held at Jorge’s in the Dallas Arts District. Wahlstrom added that the November 13 networking event will be held at The Loon.

Membership Retention – Chris Howell emailed a report to the board before the meeting that he and Delisa Day are contacting the 46 members whose membership expired so far in 2012. He will give a progress report to the board at a later date.

Membership Development - Wahlstrom and Pederson led a discussion about making the club’s website a more robust and interactive membership tool. McCuistion suggested the club explore grants to update the website.

Excellence in Journalism – Pederson reported that the committee is determining the categories for entries and who the judges will be, in consideration of the many ongoing changes in media.

JFK Assassination Anniversary – Pederson stated that Southern Methodist University and Texas Christian University will work together and use Aynesworth as a consultant for various events to be held on both campuses. There will clearly be opportunities for Club members to attend. Event schedules will be announced in early 2013.

Regarding a change to the constitution, President Oliphant’ reported that verification of whether changes to the constitution approved at the 2012 annual meeting require a vote by the membership is ongoing.

Per an email sent to the board on Sept. 24 by President Oliphant, the club was reimbursed $221 of the $300 spent to rent the Texas Theater for the Alex Burton memorial held on September 23, 2012. The board approved $350 as a reimbursable expense at the September 15, 2012, meeting. As of Sept. 24, nearly $1,000 has been donated for scholarships honoring Burton.

McCuistion asked who is chairing the committee(s) presenting the November events. Per her Sept. 24 email, President Oliphant is working with David Dunnigan on the Nov. 8 event and with Aynesworth on the Nov. 27 event. 

The next regular board meeting will be held at 9:30 a.m., November 17, 2012, at Southern Methodist University. There being no other business, the meeting adjourned at 10:57 a.m.
