• Nominating two candidates for each board position is no longer required.
• The size of the board may vary each year but can be no smaller than 9 members with the media majority maintained.
• If a vacancy on the board of directors occurs when there are only two months remaining in the term of office, the vacancy does not have to be filled.

 Living Legends of North Texas Journalism Announced by Press Club of Dallas

 The Press Club of Dallas has announced the election of 10 journalists as Living Legends of North Texas Journalism.

They will be honored at a reception and ceremony at 6:30 p.m. Thursday, May 23 at the Hall of State in Fair Park.  It will be the Press Club’s third such event to recognize major contributors to the field of news gathering and reporting.

Orit Gadiesh, the first female Chairman of any large consulting firm (in her case, Bain & Company) will be in Dallas on Wednesday, May 8 to speak for the Council. Orit presented at the World Economic Forum in Davos this past January, is a Harvard Business School alum, and Israeli by birth (even working for the IDF for a number of years before moving to the U.S.!). On top of all that, she led the company out of near-bankruptcy in the 90′s by focusing on corporate culture, leadership, and talent.

April 2013 Proposed Constitutional Changes

Article III. Section 2 – RATIONALE: A major update of the Press Club’s constitution took place last year but did not address on ongoing problem – the difficulty of finding two candidates to be nominated for each director’s position. With our reduced membership base in recent years, this requirement has produced a scramble for nominees and hurt feelings when good candidates were not elected. Instead of encouraging more member participation, the two nominee requirement has had the opposite effect.  Candidates did not want to run against each other. Despite the Club tradition of filing board vacancies with the losing candidate(s), the usual result was that the losing candidate no longer participates in Club activities. To alleviate this problem, the board proposes the following change:   

Article III. Section 2. Election of Directors.

Ninety (90) days before the annual membership meeting, the Board of Directors shall appoint a Nominating Committee comprised of three (3) Media members, and two (2) members from any other membership classification. The names of the members of the Nominating Committee shall be published on the Club’s Web site and sent via email to all members, following their appointment to the Nominating Committee. Notification shall invite members to make recommendations to the committee of candidates for the office of Director. Forty-five (45) days prior to the annual membership meeting, the Nominating Committee, after approval by majority of Press Club Board, shall publish the names of the nominees for each vacancy on the Club’s Web site. There shall be at least two nominees for each vacancy, excepting that of the President and President-Elect.

Nominees for the Board of Directors shall be classified in each of two (2) categories- those seeking to represent Media members and those seeking to represent members in other membership classifications entitled to vote and hold office. Each voting member shall be entitled to vote for the specified number in both categories of candidates for Director. Not less than thirty (30) days prior to the general membership meeting, other persons may be nominated by petition signed by at least ten (10) members in good standing, and such nomination shall be accepted by the Nominating Committee and placed on the ballot.

Voting for Directors shall be in accordance with the policy established by the Board of Directors and may include voting by regular mail, fax or any electronic means. Voting shall conclude no later than one day prior to the date of the Annual Meeting of Members. The nominees from the Nominating Committee slate, nominees nominated by petition from members and any “write in” candidates who receive the highest votes for the vacancies in either media or other categories, will be elected to serve on the Board of Directors, in accordance with this Constitution.

Article III Section 3, Number, Tenure and Qualifications. RATIONALE: One of the ways to increase member participation, interest in and commitment to an organization is to involve as many members as possible in Club activities. Member participation in committee work can give continuity to ongoing projects and help develop leadership in and knowledge of the organization.  Over the past several years, much of the work of the Club has been undertaken by the board of directors rather than by participating members. Establishing a strong committee structure could lead to more membership participation and a stronger organization.  To facilitate more member participation, the board is recommending that the number of directors be reduced from fifteen (15) to no fewer than nine (9).      

Article III Section 3. Number, Tenure and Qualifications:

There may be up to 15 board members, but no fewer than nine (9), including the President, President-Elect and immediate past President. The number of Directors shall be fifteen (15): the President, the President-Elect, the immediate past President and 12 directors. President and the immediate past President shall be ex-officio members. The The President and the immediate past President shall be ex-officio members. All Directors shall be members of the Club in good standing, and at least a majority shall be Media members of the Club. The President, President-elect and immediate past President shall hold office for one (1) year. All other Directors shall hold office for two (2) years, unless sooner terminated by provisions of Section 9 of this Article, and until his successor shall have been elected and qualified. Six (6) Directors, or such other of actual vacancies, which shall exist at the time of the election, shall be elected at each annual meeting of members. The President, immediate Past-president and President-elect of the Club shall automatically be members of the Board of Directors.

Article III Section 12 – Filing of Vacancy – RATIONALE: The current constitution requires that a vacancy on the board of directors be filled at the next board meeting. When the vacancy occurs near the end of the director’s term, as has happened this year, it seems unnecessary to appoint a new board member to serve only two or three months.

Article III, Section 12. – Filing of Vacancy:

Any vacancy occurring in the Board of Directors shall may be filled at the next meeting of the Board of Directors following the occurrence of such vacancy by the affirmative vote of a majority of the remaining directors, though less than a quorum of the Board of Directors may exist.  Any vacated office formerly held by a Media member shall be filled by another Media member, elected as foresaid.  A Director elected to fill a vacancy shall be elected for the unexpired term of his predecessor in office.  Any Directorship to be filled by any reason of an increase in the number of Directors by amendment of the Constitution shall be filled by election at an annual meeting of members or at a special meeting of members called for that purpose.
