Sample Freelance Contract
COMMISSIONED WORK AGREEMENT FOR
THE SOUTHERN POVERTY LAW CENTER
This Agreement (“Agreement”) is made by and between the Southern Poverty Law
Center, Inc. (the “Center”) and
Elizabeth A. Zavala (“Owner”).
1. The Work: Owner will prepare a 1600-word piece on
Religion in Schools:
What’s Permitted?
(the “Work”). Owner understands that the Center may provide
editorial feedback regarding the work and agrees to cooperate during the editorial
process.
2. Schedule: A first draft of work will be due on
April 21, 2011. The Center will
provide editorial feedback on a mutually agreed upon schedule. Subsequent drafts will
be scheduled accordingly with a final draft due
May 21, 2011.
3. Payment: In consideration of the rights granted pursuant to this Agreement, the
Center will pay Owner
$1,600.00. Payment will be made within thirty (30) days of
delivery of the finished Work to the Center, the submission of an invoice and
signed W-9
(if not already on file). If the work is unsuitable for publication, then the
Center will pay Owner thirty-three percent (33%) of this fee in lieu of the full fee.
4. The Work will be a specially ordered or commissioned piece for the Center, for
use by the Center as a contribution to a collective work. Unless otherwise noted in this
Agreement, the Center and Owner agree that the Work is, and will be considered a
work made for hire by the Owner for the Center, within the meaning of the Copyright Act
of 1976, as amended.
5. If the Work already exists as of the effective date of this Agreement, or if for any
reason the Work is not considered a work made for hire as a matter of law, then, unless
otherwise noted in this Agreement, Owner agrees to, and upon creation of the Work,
does hereby assign, transfer and deliver to the Center al the right, title, and interest in
and to the Work, including the copyright in and to the Work, and all renewals of
copyright. Owner further agrees to execute and deliver to Center, it successors and
assigns, such other instruments and documents as the Center reasonably may request
for the purpose of establishing, evidencing, and enforcing its rights in and to the Work.
6. The Owner has the right to receive authorship credit for the Work and to have the
credit removed or omitted if the Owner makes a written request for removal or omission
to the Center.
7. Owner represents and warrants: (a) that the Work will not infringe the right of any
third person or entity (including but not limited to copyright, defamation, trademark, right
of privacy, or right of publicity); (b) that all undertakings, with respect to the Work have
or will be performed by Owner or employees of the Owner acting within the scope of
employment.
8. This Agreement is the entire agreement of the parties respecting its subject
matter. Only a written and signed statement by both parties to this Agreement may
amend this Agreement. This Agreement is binding on the parties, their successors,
representatives, and assigns. It shall be deemed completed and entered into on the
date it is received by FAX or mail with all necessary signatures at the Southern Poverty
Law Center.
